TekStak.ai is an AI-powered enterprise software procurement platform that helps IT and security leaders discover, evaluate, and purchase enterprise software solutions. We act as an authorized reseller in partnership with Pax8 and other technology vendors.

Our Service includes:

• AI-guided software recommendations based on your requirements
• Access to curated enterprise software catalog
• Streamlined procurement and licensing services
• Customer support and consultation

To use certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Be responsible for all activities under your account

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization to use the Service.

When you purchase software through TekStak.ai:

• Pricing: All prices are subject to change. Pricing displayed at the time of purchase will be honored for that transaction.
• Payment Terms: Payment is due according to the terms specified for each purchase. Late payments may result in service suspension.
• Refunds: Refund policies are determined by the software vendor and license terms. Contact support@tekstak.ai for refund requests.
• Taxes: Prices may not include applicable taxes, which will be added at checkout.

Software purchased through TekStak.ai is subject to the End User License Agreement (EULA) and terms of the respective software vendor. You are responsible for:

• Reviewing and accepting the vendor's license terms
• Complying with all vendor usage restrictions and requirements
• Maintaining valid licenses for your use of the software

TekStak.ai acts as a reseller and is not responsible for software performance, support, or vendor-specific terms beyond the scope of our reseller agreement.

The Service, including all content, features, functionality, and AI models, is owned by TekStak.ai and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute any part of the Service without permission
• Reverse engineer or attempt to extract source code
• Use the Service to create a competing product or service
• Remove or alter any proprietary notices or labels

You agree not to use the Service to:

• Violate any laws, regulations, or third-party rights
• Transmit malware, viruses, or harmful code
• Attempt unauthorized access to our systems or networks
• Impersonate any person or entity
• Engage in fraudulent activity or misrepresentation
• Interfere with or disrupt the Service
• Scrape, harvest, or collect user data without permission

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKSTAK.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your data
• Third-party conduct or content on the Service
• Any software, services, or products obtained through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO TEKSTAK.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, for any reason including:

• Violation of these Terms
• Fraudulent or illegal activity
• Prolonged inactivity
• Non-payment of fees

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement.
